Welcome to Tile Social

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Tile Social (“Tile Social,” “we,” “us,” or “our”) governing your access to and use of the Tile Social platform, including all associated websites, mobile applications, features, products, and services (collectively, the “Services”).

At Tile Social, we are committed to providing more than a conventional digital platform. Tile Social is intended to support meaningful and respectful digital interactions. Unlike traditional platforms that prioritize engagement volume, Tile Social emphasizes quality, substance, and authenticity in user interactions and content. Our objective is to empower individuals and communities by encouraging authentic interactions within a space that is calm, deliberate, and conducive to thoughtful engagement. In doing so, we aim to advance a model of social networking that emphasizes the quality, substance, and integrity of content and discourse, rather than the mere volume of activity.

Tile Social operates under a paid-access membership model designed to eliminate advertising-driven incentives and reduce algorithmic manipulation common in ad-supported social platforms.

The Services may be offered on a subscription basis, with applicable fees, billing terms, and available plans presented to you at the time of purchase or through the platform interface.

Subscription pricing, features, and availability may vary depending on your location, currency, or applicable platform (including third-party app stores or payment providers).

Tile Social reserves the right to modify subscription fees, introduce new charges, or change billing structures at any time, subject to reasonable prior notice where required by applicable law. Any such changes will apply to subsequent billing cycles unless otherwise stated.

Your continued use of the Services following the effective date of any pricing change constitutes your acceptance of the updated fees. If you do not agree to the revised pricing, you may discontinue your subscription prior to the next billing cycle.

This subscription model supports the continued operation, maintenance, and improvement of the Services, including investments in platform reliability, security, and feature development.

Current subscription fees are displayed within the platform or at the point of purchase and may be updated from time to time.

As Tile Social grows, you will see the platform evolve with new features and functionalities, all designed to enhance the experience for our users.

If you do not agree to these Terms, you may choose not to use the Services.

Eligibility and Access Restrictions

You may access and use the Services only if you have the legal capacity to enter into a binding agreement under applicable law. By accessing or using the Services, you represent and warrant, on a continuing basis, that you are at least sixteen (16) years of age or the minimum age required in your jurisdiction to use online services, whichever is higher.

Strict Age Restriction. Individuals under the age of sixteen (16) are strictly and absolutely prohibited from creating an account, accessing, or using the Services under any circumstances. This prohibition applies without exception, including where parental or guardian consent has been obtained. Any attempt by a minor to access the Services, whether directly or indirectly, constitutes a material and non-curable violation of these Terms. Tile Social enforces a zero-tolerance policy for users below this age threshold.

Paid Membership Requirement and Access Control. Access to the Services is strictly limited to users with an active paid membership, which functions as a mandatory access control and protective barrier against unauthorized and underage use. You agree that you will not, and will not attempt to, circumvent, bypass, exploit, or interfere with any access controls, including but not limited to payment requirements, age restrictions, or verification processes. You further agree not to provide false, misleading, or incomplete information, nor to use or permit the use of another person’s identity, account, credentials, or payment method. You expressly agree that you will not facilitate, enable, assist, or allow access to the Services by any individual under sixteen (16) years of age. Any such act or attempt shall constitute a material breach of these Terms and may result in immediate enforcement action.

Verification and Enforcement. Tile Social reserves the unrestricted right, at any time and without prior notice, to require age, identity, and payment verification to confirm eligibility. This may include, without limitation, the submission of valid government-issued identification, proof of payment ownership, biometric confirmation, or any other documentation deemed necessary. Tile Social may suspend, restrict, or terminate access pending verification and may permanently terminate accounts that fail verification or are suspected of providing false or misleading information. No refunds shall be issued in connection with any enforcement action taken under this Section.

User Representations, Liability, and Indemnity. You acknowledge and agree that any misrepresentation of your age, identity, or eligibility constitutes fraud and a material breach of these Terms. You shall be solely responsible and liable for any and all consequences arising from such misrepresentation, including unauthorized access by a minor using your account, credentials, or payment method. You agree to indemnify, defend, and hold harmless Tile Social, its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or related to (i) your breach of this Section, (ii) any unauthorized or underage use of the Services associated with your account, or (iii) your failure to comply with applicable laws or regulations.

Entity Use. If you access or use the Services on behalf of a legal entity, you represent and warrant that you have full authority to bind such entity to these Terms. The entity shall be jointly and severally liable for all acts and omissions of its authorized users, including any violation of this Section.

Enforcement Rights. Tile Social reserves to the fullest extent permitted by applicable law to monitor, investigate, and enforce compliance with these eligibility requirements. In the event of any violation or suspected violation, Tile Social may, at its sole discretion, subject to applicable law, immediately suspend or terminate accounts, restrict access, forfeit payments, revoke benefits, block devices or payment methods, and pursue civil or criminal remedies to the fullest extent permitted by law.

User Accounts

To access Tile Social, you are required to create an account. You agree to provide accurate, complete, and up-to-date information and to keep such information current at all times.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account. You must not share your login details with any third party and must take reasonable steps to protect your account, including the use of strong passwords and available security features. If you become aware of any unauthorized access or security breach, you must notify Tile Social without delay.

Tile Social implements reasonable safeguards to protect user accounts; however, no system is completely secure. To the fullest extent permitted by law, Tile Social shall not be liable for any loss or damage resulting from unauthorized access, your failure to safeguard your account, or inaccurate account information.

Tile Social may send service-related communications necessary for the operation of the platform. If you provide contact information, you represent that it is accurate and that you are authorized to use it.

We reserve the right to suspend or terminate accounts where reasonably necessary, including for violations of these Terms, legal requirements, or risks to the platform or other users.

You may request account deletion at any time. Upon deletion, access to the Services will be terminated, and your data may be removed or retained as required for legal, operational, or legitimate business purposes. Deleted accounts may not be recoverable.

Tile Social Services

Tile Social provides an online platform that enables users to communicate, interact, and share content, including but not limited to posts, messages, and other user-generated materials (collectively, the “Services”).

By accessing or using the Services, you acknowledge and agree that you are solely responsible for all interactions you engage in and all content you create, upload, transmit, or otherwise make available through the platform.

Tile Social is designed to provide a user-directed experience. Content visibility, accessibility, and presentation may vary between users and are determined by user-controlled settings, direct interactions, and user-initiated engagement. Tile Social does not primarily rely on algorithmic ranking systems, behavioral profiling for engagement optimization, or automated amplification mechanisms to determine content visibility or prioritization.

Independent Platform Identity

Tile Social is designed as an original and independent digital communication platform with its own structure, terminology, interface conventions, feature presentation, and interaction model. Nothing in the Services should be interpreted as suggesting that Tile Social is a copy of, substitute for, or affiliated with any third-party social media, network, or communication platform.

Tile Social’s features, terminology, interaction systems, and visual presentation are independently designed and are not intended to replicate the proprietary trade dress, protected interface expressions, or branded ecosystem identifiers of any third-party platform.

The Services operate on a subscription-based model and do not rely on third-party advertising within the core user experience.

Tile Social provides tools to independently search for, discover, follow, and interact with other users, communities, and content. Tile Social does not endorse, recommend, or promote any specific users, content, or communities. Any connections or interactions established through the Services are initiated solely at the discretion of the user.

Tile Social is designed as an original and independent digital communication platform with its own structure, terminology, interface conventions, feature presentation, interaction model, and moderation framework.

Nothing in the Services, these Terms, or the Community Standards should be interpreted as suggesting that Tile Social is a copy of, substituted for, affiliated with, or derived from the policies, guidelines, or systems of any third-party platform.

Third-Party Services and Linked Content

The Services may allow you to share, import, access, embed, connect to, or link to third-party platforms, services, websites, applications, or content. Tile Social does not control, endorse, monitor, or assume responsibility for any third-party services, platforms, or content, including their availability, legality, accuracy, policies, data practices, or terms. Your use of any third-party service is solely at your own risk and may be subject to separate terms and policies imposed by the relevant third party.

Tile Social does not guarantee the accuracy, completeness, legality, reliability, or appropriateness of any user-generated content. We do not assume any obligation to monitor user activity; however, we reserve the right, but not the obligation, to monitor and review activity on the platform for operational, security, and compliance purposes.

The Services may contain content provided by users or third parties for general informational purposes only. Such content does not constitute professional advice of any kind, including but not limited to legal, financial, medical, or other regulated advice. You should not rely on any content available through the Services as a substitute for professional consultation, and Tile Social assumes no responsibility for any decisions made based on such content.

Tile Social is not responsible for the conduct of users, whether online or offline. You acknowledge that interactions with other users are at your own risk. Tile Social acts solely as an intermediary platform and is not a party to any interactions, communications, transactions, or disputes between users. We do not control, endorse, or assume responsibility for user behavior, content, or outcomes resulting from user interactions.

Nothing in the Services or these Terms shall be construed as creating any partnership, joint venture, agency, fiduciary, or employment relationship between you and Tile Social, or between Tile Social and any other user. Tile Social does not act as an agent, broker, or representative of any user, and does not assume any duty or obligation beyond those expressly stated in these Terms.

To maintain the integrity, security, and proper functioning of the Services, Tile Social may implement and rely on moderation systems, user reporting mechanisms, automated detection tools, and internal or external review processes. Certain features or functionalities may be offered on a beta, pilot, early access, or experimental basis and may be modified, suspended, or discontinued at any time without notice.

Any actions relating to enforcement, moderation, or account handling are governed by the applicable provisions set forth under the Enforcement, Moderation, and Account Actions section of these Terms.

We may, from time to time, evaluate, modify, update, or improve the Services, including through feature testing, usage analysis, and incorporation of user feedback. Such activities are conducted in compliance with applicable laws, including the Data Privacy Act of 2012, and are limited to legitimate operational, security, and service improvement purposes.

Tile Social makes the platform available continuously where reasonably possible, but access may occasionally be interrupted for maintenance, upgrades, security responses, or unforeseen technical events.

Tile Social does not guarantee that the Services will be secure, error-free, uninterrupted, or available at all times. The Services may be unavailable, delayed, limited, or degraded from time to time due to maintenance, system upgrades, security incidents, telecommunications issues, events beyond our reasonable control, or failures, disruptions, or delays involving third-party service providers, including hosting infrastructure, cloud services, payment processors, and external platforms. Tile Social does not control and is not responsible for the performance, availability, or reliability of such third-party services.

Tile Social does not guarantee any specific outcomes, including user engagement, connections, or interactions.

To the fullest extent permitted by applicable law, Tile Social disclaims any and all liability arising from or related to service interruptions, data loss, delays, system failures, or performance issues.

We reserve the right, at any time and without prior notice, to modify, suspend, or discontinue all or any part of the Services for operational, legal, regulatory, or security reasons, without liability.

Services, Subscriptions, Fees and Payment

Access to the Services requires an active, valid subscription. By subscribing, you agree to pay all applicable fees and charges associated with your selected subscription plan.

Plans and Pricing

Subscription plans, features, and pricing are presented at the time of purchase through the platform or applicable interface. Pricing may vary based on your location, currency, payment method, or platform (including third-party app stores).

Tile Social reserves the right to update subscription plans, pricing, or billing structures from time to time. We will provide reasonable prior notice of any material changes to subscription fees or billing terms, in accordance with applicable law. Any such changes will take effect in the next applicable billing cycle unless otherwise stated.

All subscriptions are billed on a recurring basis and will automatically renew at the end of each billing cycle unless canceled prior to the renewal date.

By purchasing a subscription, you authorize the applicable payment provider to charge your selected payment method on a recurring basis for the applicable subscription fees.

Optional Paid Features

Tile Social may offer additional paid features, enhancements, or digital items (collectively, “Optional Features”) for separate fees. Access to Optional Features is not included in the base subscription and may be subject to additional terms.

Payments and Billing

All payments must be made through the payment methods or platforms made available through the Services. Where purchases are made through third-party platforms, including but not limited to the Apple App Store or Google Play Store, such transactions are subject to the respective platform’s terms, conditions, and policies.

Tile Social does not process, control, or manage payments made through third-party platforms and shall not be liable for any billing errors, payment failures, refund processing, delays, service interruptions, or disputes arising from such transactions.

Refund Policy

All payments are non-refundable, except where required by applicable law or as provided under the policies of the relevant third-party platform through which the purchase was made.

Failed or Missed Payments

If any payment is declined, reversed, or otherwise fails, Tile Social reserves the right to suspend or restrict access to the Services until payment is successfully completed. Continued failure to settle outstanding payments may result in termination of your subscription and access to the Services.

Changes to Fees

Tile Social reserves the right to modify subscription fees, pricing structures, billing intervals, and charges for Optional Features at any time, subject to applicable law.

Where required, we will provide reasonable prior notice of any material changes. Continued use of the Services following the effective date of such changes constitutes your acceptance of the revised fees.

If you do not agree to any updated fees, you must cancel your subscription prior to the next billing cycle.

For subscriptions purchased through third-party platforms, pricing, taxes, exchange rates, billing cycles, and refund handling may be determined or affected by such platforms. Tile Social is not responsible for any differences in pricing, currency conversions, taxes, or additional charges imposed by third parties.

For subscriptions purchased through Apple App Store or Google Play, cancellation and refunds are governed by the respective platform’s policies, and Tile Social does not have control over such processes.

All fees are exclusive of any applicable taxes, levies, duties, or government-imposed charges, unless otherwise expressly stated. You are solely responsible for the payment of any such amounts that may apply based on your location, residency, billing address, or applicable laws and regulations.

Where required by applicable law, Tile Social or its payment processors may collect and remit certain taxes on your behalf. In such cases, the applicable taxes will be added to the total amount payable at checkout or billing.

You acknowledge and agree that pricing, billing practices, and applicable charges may vary depending on your jurisdiction, currency, or payment method. Tile Social shall not be responsible for any additional fees, taxes, currency conversion costs, bank charges, or regulatory requirements imposed by your local government, financial institutions, or payment providers, including where such fees or charges are incorporated into or reflected in the amounts billed to you.

To the fullest extent permitted by applicable law, you agree not to assert claims against Tile Social arising from differences in regional tax treatment, pricing structures, or legal requirements applicable in your jurisdiction.

Privacy and Data Protection

Your privacy is important to us. Your use of the Services is also governed by our Privacy Policy, which explains how Tile Social collects, uses, processes, stores, and protects your personal data.

By accessing or using the Services, you acknowledge that you have read, understood, and agree to the terms of our Privacy Policy.

Tile Social processes personal data in accordance with applicable data protection and privacy laws in the jurisdictions where it operates or where its users are located. We are committed to ensuring that personal data is handled lawfully, fairly, and transparently, and is collected and used only for legitimate purposes related to the provision, operation, and improvement of the Services.

Where applicable, such processing may be subject to internationally recognized data protection frameworks, including but not limited to the General Data Protection Regulation (GDPR) and other relevant privacy regulations.

We implement reasonable administrative, technical, and organizational measures to safeguard personal data against unauthorized access, disclosure, alteration, or destruction.

Where required, you consent to the collection and use of your personal data as described in the Privacy Policy. If you do not agree with our data practices, you should discontinue use of the Services.

Prohibited Conduct

The full and authoritative list of prohibited conduct is defined in the Community Standards, which are incorporated into and form part of these Terms.

In the event of any inconsistency between these Terms and the Community Standards, these Terms shall govern, provided that the Community Standards remain the primary reference for defining acceptable and prohibited user behavior.

Your use of the Services is also subject to our Community Standards and other platform policies, which are incorporated into and form part of these Terms.

To maintain a safe, respectful, and trustworthy environment, you agree not to use the Services in any manner that violates applicable laws, regulations, or legal obligations, or that infringes upon the intellectual property, privacy, or other rights of any person or entity. You must not engage in conduct that harasses, abuses, threatens, intimidates, or harms other users or third parties, nor may you share, upload, or distribute content that is unlawful, defamatory, obscene, fraudulent, misleading, or otherwise harmful.

You agree not to engage in spam, unauthorized advertising, solicitation, or deceptive practices, including any attempt to mislead or manipulate other users. Impersonating any person or entity, or misrepresenting your identity or affiliation with any individual or organization, is strictly prohibited.

You must not attempt to gain unauthorized access to the Services, user accounts, systems, or networks, nor interfere with, disrupt, or compromise the integrity, performance, or security of the platform. This includes attempting to bypass or circumvent any safeguards, restrictions, or security features implemented by Tile Social.

The use of automated systems, including bots, scrapers, or similar technologies, to access, extract, monitor, or interact with the Services without prior written authorization is not permitted. You must not upload, transmit, or distribute viruses, malware, or any other harmful code designed to disrupt or damage systems or data.

You may not use the Services for any purpose that is abusive, exploitative, or inconsistent with the intended use of the platform. This includes activities that manipulate attention, artificially inflate visibility, coordinate inauthentic behavior, or otherwise degrade the quality of interactions and user experience on the platform.

You also agree not to use the Services for the purpose of data mining, model training, or large-scale data extraction without explicit permission from Tile Social.

Tile Social reserves the right to investigate any suspected violation of this section and to take appropriate enforcement action in accordance with these Terms, including but not limited to removing content, restricting access, suspending or terminating accounts, and reporting unlawful activities to relevant authorities where required or permitted by law.

In simple terms, you agree to use Tile Social responsibly, lawfully, and respectfully, and not in ways that harm other users, the platform, or third parties.

User Content; Ownership and License

You retain ownership of all content you create, upload, or share through the Services (“User Content”).

By publishing content through Tile Social, you permit us to host, format, preserve, transmit, and make such content accessible solely for operating and delivering the platform functions you request. and make that content available solely as needed to:

operate and maintain the Services;

provide platform functionality requested by users;

display content according to your settings and actions;

protect platform security and enforce these Terms;

maintain backups, archives, and legal compliance records.

This authorization is non-exclusive, limited to the operation of Tile Social, and does not transfer ownership of your content to Tile Social.

Tile Social does not claim creative ownership over User Content and will not sell your personal content to advertisers.

You are solely responsible for ensuring that your User Content:

is lawful;

does not infringe third-party rights;

is authorized for upload and sharing.

Where content is deleted by you, Tile Social will cease public display within a reasonable time, subject to technical limitations, backups, legal retention duties, and lawful enforcement needs.

Third-Party Platform Content Responsibility

You may not upload, repost, import, embed, distribute, or otherwise make available through the Services any content obtained from third-party platforms unless you own the content or have all necessary rights, licenses, consents, or legal authorization to use and share it in that manner. You are solely responsible for ensuring that any content originating from external platforms does not infringe copyright, trademark, privacy, publicity, contractual, or other third-party rights. Tile Social is not responsible for unauthorized use or reposting of copyrighted or otherwise protected material originating from third-party platforms.

Except for the rights expressly granted above, Tile Social does not claim ownership of your User Content.

Subject to your privacy settings and the functionality of the Services, other users may view and interact with your User Content, including the ability to share, repost, or capture such content (including through screenshots or similar means) for personal, non-commercial purposes.

Notwithstanding the foregoing, users are strictly prohibited from using any User Content for commercial purposes without the prior express consent of the content owner. Users must not misuse, alter, or present User Content in a manner that is misleading, deceptive, or that results in misrepresentation of the original context, intent, or meaning of the content.

User Content may not be used to imply any endorsement, recommendation, affiliation, or approval by the original creator where none exists.

In addition, users are expressly prohibited from using, extracting, reproducing, or processing any User Content for the purpose of training, developing, or improving artificial intelligence models, machine learning systems, or similar technologies, or for any form of automated data collection or analysis beyond the intended use of the Services.

Enforcement, Moderation, and Account Actions

This Section governs the enforcement of violations arising from these Terms, the Community Standards, and applicable laws.

Tile Social is committed to maintaining a safe, secure, and responsible platform. To protect the integrity, safety, and intended purpose of the Services, Tile Social may review reported or detected conduct, accounts, or content where reasonably necessary to enforce these Terms, applicable laws, or platform policies.

Tile Social may take proportionate action where we determine that conduct or content:

violates these Terms, Community Standards, or applicable law;

threatens the safety, privacy, rights, or experience of other users;

compromises platform security, technical stability, or lawful operation;

is deceptive, abusive, fraudulent, manipulative, or harmful in nature.

Depending on the circumstances, Tile Social may respond by:

issuing warnings or notices;

removing or restricting access to content;

placing informational notices on disputed or sensitive content;

limiting access to specific platform functions;

temporarily suspending accounts;

permanently terminating accounts or preventing re-registration.

Tile Social may also take immediate protective action without prior notice where delay may create security, legal, or safety risks.

Where appropriate and reasonably practicable, affected users may request review of enforcement actions through designated support channels. Tile Social will assess such requests fairly, but final determinations remain within our discretion unless otherwise required by law.

Enforcement decisions are made to preserve a respectful, lawful, and trustworthy environment and may consider context, severity, repetition, and risk.

Content Retention and Deletion

If you delete your content or account, the license granted to Tile Social will terminate, except where the content has been shared with others and not deleted, where copies remain in backups, caches, or archives for a limited period, or where retention is required for legal, security, audit, or compliance purposes.

Deleted content may not be recoverable.

You may request deactivation or permanent deletion of your account at any time through designated support channels. Where technically feasible and subject to applicable law, you may also request a copy of certain account data or User Content associated with your account.

Upon receipt of a valid request, we will initiate the deletion process within a reasonable period not exceeding thirty (30) days. Content scheduled for deletion will no longer be visible to other users during processing, though it may remain stored in secure internal systems.

Where technically feasible and subject to applicable law, you may request a copy of certain account data or User Content associated with your account. Tile Social may limit such requests where necessary to protect the rights of others, ensure security, or comply with legal and operational requirements.

Tile Social reserves the right, at its sole discretion, to deny, limit, or defer any request for account deactivation, deletion, or data access, including where such request is deemed unreasonable, technically infeasible, repetitive, or where fulfilling the request would violate applicable laws, compromise system integrity or security, infringe upon the rights of other users or third parties, or conflict with legitimate business and operational requirements. In such cases, Tile Social may retain certain information as necessary to comply with legal obligations, resolve disputes, enforce its agreements, or protect its rights and interests.

Removal from active systems may take up to ninety (90) days after the deletion process begins, and residual copies may temporarily persist in backup or disaster recovery systems before permanent removal in accordance with our data retention practices and legal obligations. Certain information may be retained where necessary to comply with law, resolve disputes, prevent fraud, or enforce our rights.

Termination and Suspension of Access

Tile Social and users each have the right to end use of the Services under the conditions described below.

A. Ending Use by You

You may stop using Tile Social at any time.

You may also cancel your subscription, deactivate your account, or request permanent account deletion through available account settings, support channels, or the third-party payment platform through which your subscription was purchased.

Unless otherwise required by law or platform billing rules:

cancellations take effect at the close of the current billing cycle;

previously paid subscription fees are non-refundable;

access remains available until the active subscription period expires.

If you permanently delete your account, your profile, content, messages, relationships, and related data may no longer be recoverable once deletion processing is completed.

B. Suspension or Termination by Tile Social

Tile Social may suspend, limit, restrict, or permanently terminate access to all or part of the Services where reasonably necessary to protect the platform, users, legal compliance, or operational integrity.

This may occur if:

you violate these Terms, Community Standards, or applicable laws;

your conduct creates legal, technical, financial, reputational, or security risk;

payment obligations remain unpaid, reversed, declined, or disputed;

your account is reasonably believed to be compromised, fraudulent, unauthorized, or falsely represented;

continued access would interfere with lawful operation of the Services;

We are required to act under legal, regulatory, court, or government authority.

Where circumstances permit, Tile Social may provide notice before taking action, but immediate suspension may occur without prior warning where delay could create harm, abuse, fraud, or liability.

C. Inactive Accounts

Tile Social may deactivate or close accounts that remain inactive for extended periods where continued maintenance is no longer operationally justified.

Where practicable, reasonable notice may be provided before such action.

D. Effects of Termination

When termination or suspension occurs:

your right to access affected Services immediately ends to the extent applicable;

unpaid balances remain due;

subscription charges already processed remain payable;

Tile Social may retain, archive, restrict, or delete associated data in accordance with these Terms, Privacy Policy, legal obligations, and operational requirements.

Termination does not erase obligations that arose before termination.

E. Surviving Rights and Obligations

Any provisions that by nature are intended to survive termination will remain effective after account closure, including but not limited to:

intellectual property protections;

dispute resolution obligations;

indemnity responsibilities;

limitation of liability clauses;

data retention and compliance duties.

F. Investigations After Termination

Termination of access does not prevent Tile Social from investigating past conduct, preserving evidence, cooperating with authorities, or enforcing legal rights relating to prior misuse of the Services.

Intellectual Property Rights

Tile Social and its underlying software, systems, visual designs, interface elements, trademarks, service marks, branding assets, and proprietary technology are owned by Tile Social or its licensors and are protected by applicable intellectual property laws.

Except where expressly permitted, you may not:

copy, reproduce, distribute, republish, or commercially exploit any part of the Services;

modify or create derivative works based on Tile Social materials;

reverse engineer, decompile, or attempt to extract source code;

use Tile Social trademarks, branding, logos, or names without prior written approval.

Your use of the Services grants only a limited, revocable, non-transferable right to access and use the platform in accordance with these Terms.

Tile Social respects the intellectual property rights of others and expects users to do the same. Content that infringes third-party rights may be removed without notice.

Tile Social is an independent platform and is not endorsed by or affiliated with any third-party social media company unless expressly stated.

All rights not expressly granted under these Terms are reserved by Tile Social.

Copyright and Intellectual Property Complaints

Tile Social respects the intellectual property rights of creators, rights holders, and lawful owners, and expects all users of the Services to do the same.

If you believe that material made available through Tile Social unlawfully infringes your copyright or other protected intellectual property rights, you may notify us by submitting a written complaint containing sufficient detail for us to evaluate and investigate the claim.

Filing a Rights Complaint

A complaint should include, at minimum:

Identification of the copyrighted work or protected material claimed to be infringed;

Identification of the allegedly infringing content on Tile Social, including enough information for us to locate it (such as post link, username, post ID, screenshot, or URL);

Your full legal name and reliable contact details, including email address;

A statement confirming that you reasonably believe the disputed use is not authorized by the rights owner, its agent, or applicable law;

A statement confirming that the information provided is accurate and that you are the rights holder or authorized to act on their behalf;

Your physical or electronic signature.

Complaints that are incomplete, unclear, abusive, or unsupported may be delayed, rejected, or closed without action.

Review Process

Upon receiving a valid complaint, Tile Social may:

review the reported material;

request additional supporting information;

temporarily restrict or remove access to the disputed content;

notify the affected user where appropriate.

Tile Social may act without prior notice where immediate removal is reasonably necessary to prevent ongoing infringement or legal exposure.

Submission of a complaint does not automatically guarantee removal.

Counter-Response by Affected User

If content is removed or restricted based on a complaint, the affected user may submit a written response if they believe the material was removed in error, by misidentification, or under lawful authorization.

A counter-response should include:

Identification of the removed material and its prior location;

The user’s full legal name and contact details;

A statement explaining why the removal is disputed;

A statement confirming good-faith belief that the removal resulted from mistake, error, or misidentification;

Physical or electronic signature.

Restoration Decisions

Where appropriate, Tile Social may restore content if:

the complaint is withdrawn;

the claimant fails to provide supporting evidence when requested;

the counter-response establishes a reasonable dispute;

continued removal is not legally required.

Tile Social reserves sole discretion to determine whether disputed material remains removed, restored, or subject to further review.

Repeat Infringers

Tile Social may suspend or permanently terminate accounts that repeatedly upload or distribute infringing material.

Repeated violations may also result in restrictions on reposting, uploads, or account creation.

False or Misleading Claims

Knowingly submitting false, fraudulent, abusive, or misleading infringement complaints or counter-responses is prohibited.

Tile Social reserves the right to reject abusive claims and may take action against parties who misuse the reporting system.

Indemnity

You agree to assume responsibility for and to defend, indemnify, and hold harmless Tile Social, its parent companies, subsidiaries, affiliates, and their officers, directors, employees, agents, representatives, and advisors from any and all claims, demands, liabilities, losses, damages, costs, or expenses, including reasonable legal fees, arising from your use of the Services.

This obligation applies to claims resulting from your failure to comply with these Terms, your violation of applicable laws or third-party rights, or any activity conducted through your account. You are responsible for all actions taken under your account, including those carried out by anyone accessing the Services using your credentials, whether authorized or not.

Additional Terms and Services

Certain features or functionalities made available through Tile Social (collectively, “Additional Services”) may be subject to supplemental terms, conditions, or policies (“Additional Terms”). By accessing these Additional Services, you agree to the applicable Additional Terms, which are incorporated by reference into these Terms.

Tile Social may present such Additional Terms when you access or enable the relevant feature. In the event of conflict between these Terms and any Additional Terms, the Additional Terms govern solely with respect to the applicable Additional Services.

Feedback and Suggestions

You may provide Tile Social with feedback, comments, suggestions, or ideas (“Feedback”). By submitting Feedback, you grant Tile Social a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully transferable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, display, and otherwise exploit such Feedback for any purpose, without obligation of compensation, attribution, or accounting.

Unless otherwise agreed in writing, all Feedback is deemed non-confidential and non-proprietary, and Tile Social is under no obligation to maintain its confidentiality.

Changes to These Terms

Tile Social reserves the right to amend, modify, supplement, or replace these Terms at any time, including to reflect changes in Services, laws, regulatory requirements, industry standards, or internal policies. Any amendments become effective upon posting on the platform or by providing notice, unless a later effective date is specified.

You are responsible for reviewing these Terms periodically. Continued use of the Services after updates constitutes acceptance of the revised Terms. If you do not agree, you must discontinue use and, where applicable, deactivate or terminate your account. Amendments generally apply prospectively and do not retroactively affect accrued rights or obligations, except as required by law. Provisions intended to survive termination, such as liability, indemnification, disclaimers, and dispute resolution, remain in full force.

Exclusion of Warranties

Tile Social does not guarantee uninterrupted, error-free, secure operation or accuracy of content. While we use commercially reasonable efforts to maintain performance, availability, and security, we disclaim all warranties, whether express, implied, or statutory, including merchantability, fitness for purpose, title, and non-infringement.

While Tile Social strives to maintain platform functionality and security, we do not guarantee uninterrupted operation or freedom from defects, errors, or vulnerabilities.

To the fullest extent permitted by law, Tile Social disclaims all warranties and representations, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement of third-party rights.

Limitation of Liability

Nothing in these Terms limits or excludes liability to the extent prohibited by law, including liability for death, personal injury, or fraud. Subject to this, Tile Social is not liable for lost profits, revenue, anticipated savings, business opportunities, goodwill, data loss, or any indirect, incidental, special, exemplary, punitive, or consequential damages, even if advised of the possibility.

Unless expressly agreed otherwise, Services are provided for personal, non-commercial use only. Tile Social disclaims liability for business-related losses, including lost contracts, profits, or operational interruptions.

If digital content supplied by Tile Social causes damage due to our failure to exercise reasonable care, we may repair the damage. We are not liable for damages avoidable by installing updates, following usage instructions, or meeting system requirements.

You are responsible for mobile and data charges incurred while using the Services. The limitations and exclusions of liability apply to the fullest extent permitted by law, regardless of action type or legal theory.

The total aggregate liability of Tile Social for claims arising from these Terms or Services shall not exceed the total amount paid by you in the six (6) months preceding the event giving rise to the claim.

Legal Rules and Disputes

Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your use of the Services shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.

Subject to the dispute resolution provisions below, the courts of Cebu City, Philippines shall have exclusive jurisdiction over any action or proceeding arising out of or relating to these Terms or the Services, and you consent to the personal jurisdiction and venue of such courts.

Dispute Resolution and Arbitration

To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall first be resolved through good faith negotiations. Either party shall provide written notice describing the nature of the dispute and the proposed resolution.

If the dispute is not resolved within thirty (30) days from receipt of such notice, either party may elect to resolve the dispute through binding arbitration, subject to applicable laws and regulations.

The arbitration shall be conducted in Cebu City, Philippines, in the English language, and administered by a recognized arbitration body in accordance with its applicable rules. The arbitral award shall be final and binding and may be enforced in any court of competent jurisdiction.

Nothing in this section shall limit or restrict your ability to:

(a) raise disputes or request refunds through the applicable app distribution platform, including the Apple App Store or Google Play; or

(b) exercise any rights available to you under applicable consumer protection laws.

Nothing in this section shall prevent either party from seeking interim, provisional, or injunctive relief from courts of competent jurisdiction in Cebu City, Philippines where necessary to protect rights or prevent irreparable harm.

To the extent permitted by law, disputes shall be resolved on an individual basis, and you agree not to participate in any class, consolidated, or representative action or proceeding.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. Any invalid or unenforceable provision shall be reformed only to the extent necessary to make it valid and enforceable while preserving the intent of the original provision.

Waiver

The failure of Tile Social to enforce or exercise any provision of these Terms shall not constitute a waiver of its rights. Any waiver of rights will be effective only if made in writing and signed by an authorized representative of Tile Social.

Force Majeure

Tile Social shall not be liable or responsible for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, labor disputes, cyberattacks, internet or telecommunications failures, or other events of force majeure.

Entire Agreement

These Terms, including all incorporated Additional Terms, policies, and guidelines, constitute the entire agreement between you and Tile Social regarding your use of the Services. They supersede any prior agreements, communications, or understandings, whether oral or written, related to the subject matter herein.
